USA NINJA CHALLENGE FAIRFIELD (TRIDENT OCR LLC)
PARTICIPATION AGREEMENT, ASSUMPTION OF RISK, RELEASE OF LIABILITY,
INDEMNIFICATION, AND COMMUNICATION CONSENT

READ CAREFULLY. THIS IS A LEGAL CONTRACT. BY ELECTRONICALLY SIGNING, YOU ARE WAIVING CERTAIN LEGAL RIGHTS.

PARTIES AND SCOPE

This agreement is entered into by the undersigned participant or, if the participant is a minor, the undersigned parent or legal guardian, in favor of USA Ninja Challenge Fairfield, operated by Trident OCR LLC, including its owners, officers, directors, managers, employees, contractors, coaches, volunteers, agents, affiliates, successors, and assigns (collectively, “Released Parties”).

This agreement applies to all activities, including but not limited to classes, camps, clinics, competitions, parties, leagues, special events, training sessions, use of equipment, and presence on or around the premises (collectively, “Activities”).

ACKNOWLEDGMENT OF INHERENT RISKS

I understand that ninja training and obstacle-based activities are physically demanding and involve inherent risks that cannot be eliminated, including but not limited to slips, trips, falls, collisions, rope and grip hazards, equipment failure, improper landings, sprains, strains, fractures, dislocations, head injuries, concussions, paralysis, catastrophic injury, and death.

I understand that safety equipment, padding, instruction, supervision, and rules reduce but do not eliminate risk.

ASSUMPTION OF RISK

I knowingly and voluntarily assume all risks, known and unknown, foreseeable and unforeseeable, associated with participation in the Activities or presence at the facility, including risks arising from the ordinary negligence of the Released Parties.

RELEASE OF LIABILITY

To the fullest extent permitted by Ohio law, I waive, release, and discharge the Released Parties from any and all claims, demands, causes of action, damages, or liabilities arising out of or related to participation in the Activities or presence at the facility, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES.

This release does not apply to conduct that cannot legally be released under applicable law.

INDEMNIFICATION

I agree to indemnify, defend, and hold harmless the Released Parties from any claims, damages, losses, costs, or expenses, including attorney fees, arising out of or related to my participation or the participation of the minor on whose behalf I sign, including claims brought by or on behalf of the minor.

MINOR PARTICIPANTS

If signing for a minor, I represent that I am the minor’s parent or legal guardian and have authority to sign this agreement. I acknowledge the nature of the Activities and believe the minor is physically able and sufficiently trained to participate.

On behalf of the minor and myself, I agree to the assumption of risk, release, and indemnification provisions contained in this agreement.

MEDICAL AUTHORIZATION

I authorize the Released Parties to obtain emergency medical treatment for me or the minor participant if necessary. I understand I am responsible for all medical expenses and that the Released Parties are not obligated to provide medical care.

RULES AND CONDUCT

I agree to follow all posted rules and staff instructions. I understand that failure to follow safety rules increases risk and may result in removal from Activities without refund.

COMMUNICABLE DISEASE ACKNOWLEDGMENT

I understand that participation in indoor athletic activities may increase exposure to communicable diseases, including but not limited to influenza, COVID-19, RSV, staph infections, and other viral or bacterial illnesses. I voluntarily assume this risk. I agree not to attend if I or my minor child have a fever or symptoms of a contagious illness and to comply with health and safety policies in effect at the time of participation.

PHOTO AND VIDEO RELEASE

I grant permission to the Released Parties to photograph or record me or the minor participant during Activities and to use such images or recordings for legitimate business purposes including marketing, advertising, and social media, without compensation. If I do not wish to grant this permission, I understand it is my responsibility to notify the facility in writing prior to participation.

COMMUNICATION CONSENT

By providing my email address and phone number during registration, I consent to receive communications from USA Ninja Challenge Fairfield.

Service Communications
I agree to receive non-marketing communications related to scheduling, billing, customer support, safety notices, and operational updates.

Email Marketing
I consent to receive promotional emails regarding programs, events, and offers. I may unsubscribe at any time using the link in any email.

SMS Text Messaging
If I provide a mobile phone number, I consent to receive SMS messages, including promotional messages if I opt in during registration. Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. I may opt out at any time by replying STOP. For help, I may reply HELP.

I understand that consent records, including timestamps and opt-in data, are maintained. Mobile opt-in information and phone numbers will not be shared with third parties or affiliates for their marketing purposes, but may be shared with service providers necessary to deliver the communications I have agreed to receive.

I confirm that I am at least 18 years old or that I am the parent or legal guardian providing consent on behalf of a minor.

GOVERNING LAW AND VENUE

This agreement is governed by the laws of the State of Ohio. Any dispute arising from this agreement shall be brought in a court of competent jurisdiction located in Butler County, Ohio, and I consent to personal jurisdiction there.

SEVERABILITY

If any provision of this agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

ELECTRONIC SIGNATURE

I acknowledge that by electronically signing this document, I am entering into a binding legal agreement. I have read and understand this agreement and sign it voluntarily.

Subject: Competitions, workouts, team activities and functions at any USA Ninja Challenge facility or the location of any USANC competition or activity. I grant to Ninja 500, LLC and USA Ninja Challenge, its representatives and employees the right to take photographs of my child in connection with the above-identified subject. I authorize USA Ninja Challenge, its assigns and transferees to copyright, use and publish the same in print and/or electronically. I agree that USA Ninja Challenge may use such photographs of my child with or without his/her name for any lawful purpose, including publicity, illustration, advertising, and web content. Dress Code for Participants*

USA Ninja Challenge has established a dress code for participants to ensure the safety of our students, party guests and coaches. Student and party participants should be dressed appropriately for the activity in which they participate. Dress codes will be enforced. All students and guests should wear: – Short sleeve T-shirt or tank and shorts – Tight-fitting capri length pants are acceptable – Bare Feet – no socks Long hair must be put up with hair ties or scrunchies. Do not use bobby pins, as they have been known to cause injuries to the head, if fallen upon. Never wear the following: – Necklaces, dangling earrings, bracelets, belts, watches, fit bits, etc. All of these items get caught on clothing, equipment or other people and will break or cause injury. – Long sleeves – can get caught or hinder a coach from spotting – Pants – can get caught or pulled down easily – Hoodies, sweat shirts, dresses or other loose clothing. All of these can cause an injury to a coach when spotting or to a student if clothing gets caught on equipment. If you have a question about whether or not a particular piece of apparel is acceptable, please ask before sending your child to a ninja party.
