PARTICIPATION AGREEMENT, EXPRESS ASSUMPTION OF RISK,
INDEMNIFICATION AGREEMENT, ARBITRATION AGREEMENT,
AND COMMUNICATION CONSENT

THIS IS A LEGALLY BINDING CONTRACT.
BY ELECTRONICALLY SIGNING, YOU ARE WAIVING IMPORTANT RIGHTS.

  1. PARTIES

This agreement is entered into by the undersigned participant, or if the participant is under 18 years of age, the undersigned parent or legal guardian, in favor of USA Ninja Challenge Stafford operated by Ninja NOVA INC, including its owners, officers, directors, managers, employees, contractors, coaches, volunteers, agents, affiliates, successors, and assigns (collectively referred to as the “Facility”).

This agreement applies to all classes, camps, clinics, competitions, birthday parties, leagues, events, training sessions, use of equipment, and presence at or around the premises (collectively “Activities”).

  1. EXPRESS ACKNOWLEDGMENT AND ASSUMPTION OF RISK

I understand that ninja obstacle training involves significant physical risk. These risks include, but are not limited to:

• Slips, trips, and falls
• Falls from elevated obstacles
• Rope and grip failure
• Improper landings
• Collision with equipment or other participants
• Equipment malfunction
• Sprains, strains, fractures, dislocations
• Head injuries and concussions
• Paralysis
• Catastrophic injury
• Death

I understand that safety rules, padded flooring, instruction, and supervision reduce but do not eliminate these risks.

I knowingly and voluntarily assume full responsibility for all risks of injury, illness, damage, or loss, whether known or unknown, foreseeable or unforeseeable, arising from participation in the Activities or presence at the Facility.

I understand that Virginia law follows the doctrine of contributory negligence, and that failure to follow rules or instructions may completely bar recovery for injury.

  1. AGREEMENT TO FOLLOW RULES

I agree to follow all posted rules and all instructions from staff. I understand that failure to follow safety rules increases the risk of serious injury and may result in removal from participation without refund.

  1. INDEMNIFICATION AND HOLD HARMLESS AGREEMENT

To the fullest extent permitted by Virginia law, I agree to indemnify, defend, and hold harmless the Facility from any and all claims, demands, lawsuits, damages, losses, liabilities, costs, and attorney fees arising out of or related to:

• My participation in the Activities
• The minor participant’s participation (if applicable)
• My violation of rules
• My negligent or intentional acts or omissions

If I sign on behalf of a minor, I agree to indemnify the Facility from any claims brought by or on behalf of the minor.

  1. MINOR PARTICIPANT AGREEMENT

If signing for a minor, I represent that I am the minor’s parent or legal guardian and have full authority to sign this agreement.

I acknowledge the nature of the Activities and believe the minor is physically capable of participation.

On behalf of the minor and myself, I agree to all provisions of this agreement, including assumption of risk and indemnification.

  1. MEDICAL AUTHORIZATION

I authorize the Facility to obtain emergency medical treatment for me or the minor participant if necessary. I understand I am financially responsible for all medical expenses. The Facility has no duty to provide medical care.

  1. COMMUNICABLE DISEASE ACKNOWLEDGMENT

I understand that participation in indoor athletic activities may increase exposure to communicable diseases including influenza, COVID-19, RSV, staph infections, and other viral or bacterial illnesses. I voluntarily assume this risk.

I agree not to attend if I or my minor child have symptoms of a contagious illness.

  1. PHOTO AND VIDEO RELEASE

I grant permission to the Facility to photograph or record me or the minor participant during Activities and to use such images for legitimate business purposes including marketing, advertising, and social media without compensation. If I do not consent, I understand I must notify the Facility in writing prior to participation.

  1. COMMUNICATION CONSENT

By providing contact information during registration, I consent to receive communications from USA Ninja Challenge Stafford operated by Ninja NOVA INC.

Service Communications
I agree to receive communications related to scheduling, billing, account management, and operational updates.

Email Marketing
I consent to receive promotional emails and may unsubscribe at any time.

SMS Text Messaging
If I provide a mobile number, I consent to receive SMS messages, including promotional messages if I opt in. Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. I may opt out at any time by replying STOP. For help, reply HELP.

I understand that opt-in records are maintained. Mobile opt-in data and phone numbers will not be shared with third parties for their marketing purposes, but may be shared with service providers necessary to deliver communications.

I confirm I am 18 years of age or older, or I am the parent or legal guardian providing consent.

  1. BINDING ARBITRATION AGREEMENT

Any dispute, claim, or controversy arising out of or relating to participation in the Activities or this agreement shall be resolved exclusively by binding arbitration in or near Stafford County, Virginia.

The arbitration shall be administered by a recognized arbitration organization under its consumer arbitration rules.

By agreeing to arbitration, both parties waive the right to file a lawsuit in court or have a jury trial.

  1. CLASS ACTION WAIVER

Any arbitration or legal proceeding shall be conducted solely on an individual basis. I waive any right to participate in a class action, collective action, or representative proceeding.

  1. GOVERNING LAW

This agreement shall be governed by the laws of the Commonwealth of Virginia.

  1. SEVERABILITY

If any provision of this agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

  1. ELECTRONIC SIGNATURE

I acknowledge that by electronically signing this agreement, I am entering into a binding legal contract. I have read and understand this agreement and sign voluntarily.

Your Information

Subject: Competitions, workouts, team activities and functions at any USA Ninja Challenge facility or the location of any USANC competition or activity. I grant to Ninja Nova, Inc. and USA Ninja Challenge, its representatives and employees the right to take photographs of my child in connection with the above-identified subject. I authorize USA Ninja Challenge, its assigns and transferees to copyright, use and publish the same in print and/or electronically. I agree that USA Ninja Challenge may use such photographs of my child with or without his/her name for any lawful purpose, including publicity, illustration, advertising, and web content. I have read and understand the above.

USA Ninja Challenge has established a dress code for participants to ensure the safety of our students, party guests and coaches. Student and party participants should be dressed appropriately for the activity in which they participate. Dress codes will be enforced. All students and guests should wear: – Short sleeve T-shirt or tank and shorts – Tight-fitting capri length pants are acceptable – Bare Feet – no socks Long hair must be put up with hair ties or scrunchies. Do not use bobby pins, as they have been known to cause injuries to the head, if fallen upon. Never wear the following: – Necklaces, dangling earrings, bracelets, belts, watches, fit bits, etc. All of these items get caught on clothing, equipment or other people and will break or cause injury. – Long sleeves – can get caught or hinder a coach from spotting – Pants – can get caught or pulled down easily – Hoodies, sweat shirts, dresses or other loose clothing. All of these can cause an injury to a coach when spotting or to a student if clothing gets caught on equipment. If you have a question about whether or not a particular piece of apparel is acceptable, please ask before sending your child to a ninja party.
