Waiver and Release of Liability Agreement for Vendors
Ogden Valley Adaptive Sports Demo Days
March 7th, 2026
The undersigned vendor (“VENDOR”) participating in the
Ogden Valley Adaptive Sports Demo Days event
March 7th, 2026 at Snowbasin Resort as further described as follows:
Set up and take down of vendor booth at Snowbasin’s vendor village (hereinafter
“ACTIVITY”) agrees and understands that there are risks associated with the
ACTIVITY.
In consideration for allowing the
VENDOR to participate in the ACTIVITY, the undersigned VENDOR hereby ASSUMES
ALL RISKS associated with the VENDOR’s participation in the ACTIVITY.
Additionally, VENDOR AGREES TO HOLD HARMLESS, RELEASE, DEFEND, AND INDEMNIFY Snowbasin
Resort, LLC, its parent, subsidiary, brother, sister, and other closely related
affiliated companies and all of its and their officers, directors, members,
employees, agents, property owners, successors and assigns (collectively
"Snowbasin"), its affiliated organizations and companies, and
each of their respective insurance carriers, agents, employees,
representatives, assignees, officers, directors, and shareholders (each
hereinafter a “RELEASED PARTY”) FOR ANY AND ALL LIABILITY and/or claims
for injury or death to persons or damage to property arising from the VENDOR’s
participation before, during and after the ACTIVITY, including those claims
based on any RELEASED PARTY’s alleged or actual NEGLIGENCE or BREACH OF any
express or implied WARRANTY.
By signing this release, VENDOR AGREES
NOT TO SUE any RELEASED PARTY and agrees it is releasing any right to
make a claim or file a lawsuit against any RELEASED PARTY. VENDOR
further AGREES TO DEFEND AND INDEMNIFY each RELEASED PARTY for any and
all claims of VENDOR, VENDOR’S EMPLOYEES, and/or a THIRD PARTY arising in whole
or in part from the VENDOR’s participation in the ACTIVITY. VENDOR agrees to waive all rights of subrogation
with respect to Workers’ Compensation claims against Snowbasin for losses arising
from VENDOR’s employees activities pursuant to this release agreement. VENDOR
agrees to pay all costs and attorney’s fees incurred by any RELEASED PARTY in
defending a claim or suit brought by or on behalf of VENDOR, VENDOR’S
employees, and/or a THIRD PARTY.
In consideration for allowing the VENDOR to
participate in the ACTIVITY and for using any of Snowbasin’s facilities, VENDOR agrees that ANY AND ALL CLAIMS for
injury and/or death arising from the VENDOR’s participation in the ACTIVITY
shall be GOVERNED BY UTAH LAW and EXCLUSIVE JURISDICTION of any claim
shall be in the SECOND DISTRICT COURT residing where the alleged incident
occurred or in the FEDERAL COURT FOR THE STATE OF UTAH.
This release and indemnity agreement shall
be binding to the fullest extent permitted by law. If any part of this release
is deemed to be unenforceable, the remaining terms shall be an enforceable
contract between the parties. This release shall be binding upon the assignees
and subrogors of VENDOR.
