CAF Minor Media Release Form

As a parent &/or legal guardian of "The Minor” named below hereby grant to Commemorative Air Force (C.A.F.), Henry B. Tippie National Aviation Education Center (NAEC) or any of its DBA’s and/or its representative vendor permission to create and/or use photographs, audio recordings, and/or video recordings (collectively, “Media”) of me/us/the minor worldwide in perpetuity. The Contributor grants to C.A.F. & NAEC the right to use any names, voices, likenesses, and other identifying characteristics related to the Media and to C.A.F. & NAEC recordings and creations containing all or parts of the Media. For the valuable consideration of participation in C.A.F. & NAEC, Contributor hereby grants to C.A.F. a non-exclusive, limited license to use all or portions of the Media in producing C.A.F. & NAEC audio and/or visual resources (“Resources”) and for the purposes described herein. Contributor understands and agrees that C.A.F. & NAEC will own all rights, including copyright, to the Resources for any and all purposes, subject to the Contributor’s pre-existing and retained rights to the Media. Such purposes will be determined at C.A.F. & NAEC's sole discretion and may include, but are not limited to any one or more of the following: 1) use of the Media in broadcasts and unlimited repeat broadcasts and transcripts for any C.A.F. & NAEC-produced radio programs now existing or hereafter developed 2) use and posting of the Media on any C.A.F. and/or NAEC Web site(s) and/or on any C.A.F. and/or NAEC-related pages of various social networking sites and blogs (e.g., Facebook, Twitter, Tangle™, etc.); and 3) reproduction or quotation in any C.A.F. & NAEC products and promotional pieces, whether for sale or not. For all of these purposes, Contributor agrees that C.A.F. & NAEC may use and/or modify the Media in order to present it in various formats of C.A.F. & NAEC choosing, including but not limited to creating compact discs, digital video discs, transcripts, mp3 files and other online downloadable formats, products, and publications in any other formats now existing or later developed. Contributor further grants to C.A.F. & NAEC all subsidiary rights to the Resources, including but not limited to the worldwide right to translate, use, and distribute and/or license others to translate, use, and distribute the Resources in any language throughout
the world. Contributor understands and agrees that all rights listed in this Agreement are granted to C.A.F. & NAEC on a perpetual, worldwide, and royalty-free basis. Contributor represents and warrants that Contributor is 18 years of age or older and has full and complete authority to grant this Release. By granting such permission to C.A.F. & NAEC, Contributor warrants and represents that Contributor is not infringing upon the rights of any other party. Contributor agrees to hold harmless and releases C.A.F. & NAEC from and indemnify C.A.F. & NAEC for any and all claims (including claims of infringement of moral rights, rights of publicity and privacy, or copyright), damages, costs (including attorneys’ fees) and losses that may arise or that Contributor might experience resulting from Contributor’s performance under this Agreement.  The Parties agree that any controversy or claim arising out of this Agreement shall be settled by mediation and, if mediation is unsuccessful, legally binding arbitration, using one or more arbitrators who are acceptable to both Parties. The Parties agree that these methods shall be the sole remedy for any controversy or claim whatsoever arising under or out of this Agreement including claims for violations of federal and state law and for negligent or intentional wrongful conduct. Contributor further agrees that these methods shall be the sole remedy whether the claim is between Contributor and C.A.F. & NAEC or between Contributor and C.A.F. & NAEC’s board members, officers, employees or agents. The Parties expressly waive their right to file a lawsuit against one another in any civil court for such disputes, except to enforce a legally binding arbitration decision or to enforce intellectual property rights with a court or government agency. The Parties agree to bear their own costs for attorneys’ fees and other expenses related to the dispute resolution process. This Agreement expresses the complete understanding of all Parties, and may not be assigned or modified except in writing and signed by both Parties.
